This edition marks a record number of companies listed in the Directors Roster. On the following pages, you will see profiled the board recruitment results of 241 companies -- everyone from giant IBM Corp., which added a major media executive to its board, to tiny Biocryst Pharmaceuticals Inc.,

which added to its board an executive with 20 years experience in senior positions with R.J. Reynolds International.

Part and parcel of this record number of companies is a record number of newly selected directors detailed herein. Our dogged research tracked 315 executives who were tapped for board service in this issue's reporting period. Not to unnecessarily repeat oneself, but the beauty and value of the Directors Roster is that it captures the whole universe of director recruits -- everyone from well-known corporate chieftains (even, occasionally, celebrity figures) to obscure operatives who nonetheless possess something of value in the way of knowledge, skills, contacts, or other expertise that can be added to the competitive arsenal of the recruiting company.

The cover story of this issue, "Creating a Board for an IPO," is a perfectly timed theme to coincide with the occasion of our reporting record numbers in this Directors Roster. The IPO-oriented advice offered by our authors has applications well beyond the concerns and interests of IPO boards and companies. It is not much of a stretch to suggest that the vast range of companies and individuals appearing in this Roster -- a good proxy for our regular subscribers, let it be said -- would benefit from the counsel conveyed by our IPO experts. And our authors who are "outside" the IPO section likewise offer keen counsel that has universal application. Indeed, Scott McNealy's presentation of A Winning Business Model for the '90s," an article of a more macro-strategic nature which leads off this edition, is a model article in its own respect: designed to talk to the management and boards of any company, its message is particularly timely for the CEO and board of a newly public company as they lead it in the next phase of its competitive existence.

The way we craft each issue of Directors & Boards -- from conceiving the article ideas, to enticing the right authors to address those ideas, to then editing the fruits of their wisdom and labor -- is to produce a premier document on governance leadership. We want this product to be pertinent to an IPO board as well as a board of long-standing ... to a first-time director as well as to a renowned veteran ... to a senior management team and board that are in an early stage of "jelling" and need a full menu of advice on the ways of governance as well as to a smooth-running board machine that needs only an occasional tuneup or tip on what may lie ahead that could or should alter its course. This has been our mission for the past 20 years, and we will continue steadfastly to pursue it.

The Directors Roster is a detailed record of executives added to corporate boards. The Roster covers a three-month period prior to the publication of each edition of Directors & Boards. It includes companies of all sizes, from billion-dollar blue chips to smaller growth ventures, that have elected new outside directors. The tracking of director appointments and follow-up research is a joint undertaking by Spencer Stuart, a leading firm in executive and director search, and Directors & Boards.

The Roster is organized alphabetically by the company adding the new director(s). A company index leads off the Roster, for ease of scanning the universe of companies included in this listing. At the back of the Roster is a director index which lists all the new directors alphabetically along with the name of the company whose board they joined. The Director Index appears on pages 81-84.

Details included in each Roster entry are the address of the company adding the new director, the address of the director at his or her primary affiliation (when available and for public disclosure), a biographical note on each director, and a description of the businesses of both the company adding the new director and of the director's company. Schools, universities, hospitals, etc., are not described.) For public companies, to give a sense of the size and scope of the enterprise, we also include revenues (or, in some cases, assets for banks and certain financial institutions.)
